These terms of service ("Agreement") apply to consulting services provided by Pathfix Inc ("Consultant") to Customers or Users of Pathfix systems ("Customer") in connection with the integration of third-party APIs ("APIs") with the Customer's software or systems ("System"). By engaging Consultant, Customer agrees to be bound by these terms.
Services
Consultant will provide consulting services to Customer on the integration of APIs with the System. These services will be provided on a per-hour basis at the hourly rate agreed upon by the parties. The specific consulting services to be provided will be determined by mutual agreement of the parties.
Fees and Payment
Customer agrees to pay Consultant for all consulting services provided at the hourly rate agreed upon by the parties. Fees will be invoiced immediately and are due on the date of the invoice. No refunds will be provided.
In addition to the consulting fees, any API research conducted by Consultant will be charged on an hourly basis. Customer will be informed of any such charges before they are incurred.
Results and Guarantees
Consultant will use its best efforts to find solutions for the API integration issues/requests faced by the Customer, but makes no guarantees or warranties as to the results of its consulting services. Customer understands that API integration can be complex and that not all issues can be resolved.
Implementation
Consultant will not provide implementation services for any specific code base platform, but will provide guidance, suggestions, and direction on how to implement the API integrations. Consultant will not take on any projects for app specific configurations.
Confidentiality
Consultant will maintain the confidentiality of all information provided by Customer in connection with the consulting services, and will not disclose such information to any third party without the prior written consent of Customer, except as required by law.
Termination
Either party may terminate this Agreement upon written notice to the other party. Upon termination, Customer agrees to pay Consultant for all consulting services provided up to the date of termination.
Governing Law
This Agreement will be governed by and construed in accordance with the laws of Delaware, without giving effect to its conflict of laws provisions.
Entire Agreement
This Agreement constitutes the entire agreement, in addition to the Pathfix Terms agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the parties relating to such subject matter. This Agreement may not be modified except in writing signed by both parties.
